# Terms · Avtoris

> General terms and conditions of Avtoris for websites, AI assistants, portals, research and consulting. Swiss law.

The rules for working together. Clear and fair.

This English version is a courtesy translation. Only the [German AGB](https://www.avtoris.studio/agb) are legally binding.

## 1\. Scope

These general terms and conditions (terms) apply to all services of Avtoris: websites, AI assistants, client portals, research, consulting, maintenance and operation. They also apply to later orders, without us naming them again.

What is written in the offer or in a written contract takes precedence over these terms. General conditions of the client apply only if we agree to them in writing.

## 2\. Contract partner

Avtoris is a creative studio without a legal form of its own and is not entered in the commercial register. The contract partners of the client are the people named in the [legal notice](https://www.avtoris.studio/en/impressum). We act jointly under the name Avtoris.

## 3\. Offer and conclusion of the contract

Content on our website, in the intake and in conversations is no binding offer. Only a written offer is binding. It is valid for 30 days, unless it says otherwise.

The contract is concluded when the client accepts the offer in writing. An email is enough. With the acceptance, these terms apply in the version valid at that time.

## 4\. Services

Scope, dates and price are in the offer. We deliver our services with care and to the state of the art. We may involve suitable assistants. We remain responsible for them.

What is not in the offer is not part of the order. If the client wants more or something else, we make a follow up offer. Without a follow up offer we charge the extra work at the hourly rate of the offer, if the client ordered it in writing beforehand.

## 5\. Cooperation of the client

The client delivers in time everything we need: content, texts, images, logos, access, information and feedback. If the client delivers late or incompletely, the dates move. If this causes us extra work, we may charge it.

The client is responsible for holding the rights to everything they deliver to us. The client indemnifies us against claims of third parties that arise from this content.

The client is responsible for the legal content of their own website, for example legal notice, privacy notice and terms. We can provide templates. This is no legal advice.

## 6\. Prices and payment

All prices are in Swiss francs (CHF). As long as Avtoris is not liable for VAT, the prices include no VAT and we show none.

For projects we invoice, unless agreed otherwise, 50 percent at the order and 50 percent at acceptance. We invoice ongoing services such as maintenance or operation in advance. Invoices are payable within 30 days.

If the client does not pay after a reminder, the client owes default interest of 5 percent (Art. 104 of the Swiss Code of Obligations, CO). We may then pause the work until the payment arrives.

The client bears the costs of third parties, for example for domain, hosting, licenses or AI interfaces. We name them in the offer. Where possible, the client concludes these contracts directly and remains the owner of their domains and accounts.

## 7\. Acceptance

We report when a service is finished. The client checks it within 10 working days and reports defects in writing. If the client reports nothing, or uses the service productively, for example with the go live of a website, it counts as accepted.

Small defects that do not seriously affect the use do not prevent acceptance. We fix them afterwards.

## 8\. Defects

The client reports defects in writing immediately after discovery. We fix reported defects free of charge within a reasonable time. If this fails twice, the client can ask for a reasonable price reduction or, for a substantial defect, withdraw from the affected part of the contract.

No defect are errors caused by changes of the client or of third parties, by new versions of browsers, operating systems or interfaces after acceptance, or by services of third parties.

## 9\. Rights to the results

After full payment the client receives a transferable right, unlimited in time, to use the results we created for them for the agreed purpose. This includes design, texts and the code of their project. The client may change the results or have them changed by third parties.

Our own tools, templates, libraries, methods and know how remain ours. We may continue to use them. Parts under an open source license are subject to that license.

We may show the project with name, logo and images as a reference. The client can refuse this in writing at any time. We never show confidential information.

## 10\. AI and third party services

For AI assistants and automations we use services of third parties, for example language models, hosting and interfaces. We are not responsible for their availability, prices and changes. Answers of AI systems can be wrong. The client checks important results before using them or passing them on to their customers.

## 11\. Research and consulting

Research reports, analyses and recommendations are a basis for the decisions of the client. They are no investment, financial, tax or legal advice. The client decides alone and bears the consequences of their decisions.

## 12\. Confidentiality

Both sides treat as confidential all information that is not public and that they receive in the project. This also applies after the end of the contract. We use access and passwords of the client only for the order and do not pass them on.

## 13\. Data protection

We comply with the Swiss Federal Act on Data Protection. If we process personal data on behalf of the client, for example data of their customers, we do so only on their instructions and only for the order (processing on behalf under Art. 9 FADP and, where applicable, Art. 28 GDPR). On request we conclude a separate contract for this. How we process data on our website is described in the [privacy notice](https://www.avtoris.studio/en/datenschutz).

## 14\. Liability

We are liable without limit for damage we cause intentionally or through gross negligence. This also applies to damage to life, body and health and to liability under the Swiss Product Liability Act.

We are not liable for slight negligence, as far as the law allows (Art. 100 CO). Likewise not for indirect and consequential damage, for example lost profit, loss of data or claims of third parties. We exclude liability for assistants to the same extent (Art. 101(2) CO).

The client backs up their own data. If we take over the operation, the rule on backups in the offer applies.

## 15\. Term and termination

A project ends with acceptance and payment. Ongoing services such as maintenance or operation can be terminated by both sides with one month notice to the end of a month, unless the offer says otherwise.

Consulting and research are mandates under Art. 394 ff. CO. Both sides can end them at any time (Art. 404 CO). For a work, the client can withdraw before completion (Art. 377 CO). In both cases the client pays the work done until then and our expenses. Whoever terminates at an inopportune time compensates the damage.

For good cause both sides can terminate with immediate effect, for example for a serious breach of these terms.

## 16\. Use of this website

The website, the Markdown versions, `llms.txt` and the MCP server at `/mcp` are free of charge and without warranty. There is no right to availability. Automated requests are allowed as long as they do not disturb the operation. We may limit or block requests that disturb the operation. For the content, the [legal notice](https://www.avtoris.studio/en/impressum) and copyright apply.

## 17\. Changes to the terms

We can change these terms. For a running contract the version at the conclusion of the contract applies. A new version applies to it only if the client agrees.

## 18\. Law and place of jurisdiction

Swiss law applies. The United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention) does not apply.

Place of jurisdiction is Zurich. For consumers the mandatory places of jurisdiction of the law apply (Art. 32 and 35 of the Swiss Civil Procedure Code).

These terms are also available in German. The German version is binding.

If a provision of these terms is invalid, the others remain valid. A valid provision that comes closest to its purpose replaces the invalid one.
